This Risk Disclosure Statement describes certain, but not all, of the risks associated with accessing and using NeuroTrader AI, a non-custodial software platform operated by Arileus Intelligence Systems LLC. It forms part of, and must be read together with, the NeuroTrader AI’s Terms and Conditions and Privacy Policy.

By accessing or using the NeuroTrader AI, you acknowledge that you have read, understood, and accepted the risks described in this Disclosure, that you are willing and financially able to bear those risks, and that you use the Service entirely at your own risk.

1. Introduction and Purpose

1.1. Purpose. This Risk Disclosure Statement (“Disclosure”) describes certain, but not all, of the risks associated with accessing and using NeuroTrader AI, a non-custodial software platform operated by Arileus Intelligence Systems LLC (the “Company”). It forms part of, and must be read together with, the NeuroTrader AI’s Terms and Conditions (the “Terms”) and Privacy Policy. Capitalized terms used but not defined here have the meanings given in the Terms.

1.2. Acknowledgment. By accessing or using the NeuroTrader AI, you acknowledge that you have read, understood, and accepted the risks described in this Disclosure, that you are willing and financially able to bear those risks, and that you use the Service entirely at your own risk. If you do not understand or cannot accept these risks, you must not use the NeuroTrader AI.

1.3. Not Exhaustive. The risks described here are not exhaustive. Trading crypto-assets and using automated tools involve risks that cannot be fully predicted or described, and new risks may emerge. You should not treat this Disclosure as a complete statement of all risks, and you should seek independent professional advice where appropriate.

2. Software Tool Only and No Advice

2.1. Technology Provider. The NeuroTrader AI is a software tool. The Company is not a broker, dealer, broker-dealer, investment adviser, financial adviser, commodity trading advisor, futures commission merchant, exchange, money services business, money transmitter, or custodian, and is not registered in any such capacity with any regulatory authority. Nothing provided through the NeuroTrader AI is, or should be relied upon as, investment, financial, legal, tax, or trading advice, or a recommendation, solicitation, or offer to buy, sell, or hold any crypto-asset.

2.2. No Fiduciary Relationship. The Company does not act as your agent, fiduciary, trustee, or adviser. All decisions to trade, to configure the NeuroTrader AI, and to enable any automated feature are made by you, in your sole discretion and on your own judgment. You are solely responsible for evaluating the merits and risks of any transaction.

3. Non-Custodial Nature of the Service

3.1. You Control Your Assets. The Company does not take custody, possession, or control of your funds or crypto-assets at any time. Your assets remain in your own account at your chosen third-party exchange (the “Connected Exchange”). The Company does not hold, pool, transmit, exchange, convert, or transfer value on your behalf.

3.2. Trade-Only Access. Where you enable live trading, the Service acts only through trade-only API permissions that you grant and that do not permit withdrawals or transfers of your assets away from your Connected Exchange. You are responsible for the security and configuration of your API keys and Connected Exchange account. The Company is not responsible for any loss resulting from the compromise, misconfiguration, or misuse of your credentials or API keys.

4. Artificial Intelligence and Algorithmic Risk

4.1. Nature of AI Output. The NeuroTrader AI generates signals, scores, analytics, and other outputs (“AI Output”) using algorithmic and machine-learning models. AI Output is probabilistic and inherently limited. It may be incorrect, incomplete, delayed, biased, or unexpected and may fail to identify opportunities or risks, as well as may act, or fail to act, in ways you did not anticipate.

4.2. Model and Data Limitations. AI models rely on historical and third-party data that may be inaccurate, incomplete, delayed, or unavailable, and past patterns do not reliably predict future outcomes. Models may behave unpredictably in volatile, illiquid, or unprecedented market conditions. You must not rely on AI Output as the sole basis for any decision, and you remain solely responsible for every trading decision you make or authorize.

5. Automated Execution Risk

5.1. User-Directed Automation. The NeuroTrader AI offers modes in which orders are prepared for your manual confirmation or executed automatically within parameters you pre-approve. When you enable AI Auto, orders may be transmitted to your Connected Exchange without a separate confirmation for each order. You are responsible for all orders executed within the parameters you have approved.

5.2. Automation Limitations. Automated systems can malfunction, misfire, execute unintended orders, or fail to execute intended orders, including as a result of software errors, connectivity failures, latency, incorrect configuration, or third-party outages. You should monitor your account and open positions, understand your configured parameters, and use the kill switch to stop automation where appropriate. The Company does not guarantee that any automated feature will perform as intended or produce any particular result.

6. Market and Trading Risk

6.1. Volatility and Loss. Crypto-asset prices are highly volatile and can move rapidly and unpredictably. The value of your assets may decline significantly, and you may lose part or all of your capital. You should not trade with funds you cannot afford to lose.

6.2. Execution and Liquidity. Orders may be delayed, partially filled, filled at unfavorable prices, or not filled at all, due to market conditions, low liquidity, slippage, latency, or the acts or outages of a Connected Exchange. Order matching and execution occur on the Connected Exchange and are outside the Company’s control.

6.3. No Recovery Mechanism. Crypto-asset transactions are generally irreversible. Once an order is executed on a Connected Exchange, it may not be possible to cancel, reverse, or recover it. There is generally no chargeback, deposit-insurance, or investor-compensation scheme applicable to crypto-asset trading.

7. Crypto-Asset and Technology Risk

7.1. Novel and Evolving Technology. Crypto-assets and the underlying distributed-ledger technology are new, rapidly developing, and not fully tested. They may be subject to operational, protocol, governance, cybersecurity, and other risks that are not fully known or understood, including risks that may emerge in the future.

7.2. Protocol and Network Risk. Crypto-assets may be affected by network congestion, forks, protocol changes, validator or miner behavior, smart-contract vulnerabilities, and attacks. Such events may affect the value, availability, or transferability of your assets and are outside the Company’s control.

7.3. Cybersecurity Risk. The NeuroTrader AI, Connected Exchanges, and the broader crypto ecosystem are targets for cyberattacks, including hacking, phishing, malware, and social engineering. A successful attack may result in the loss of assets or data. You are responsible for maintaining the security of your devices, credentials, and API keys.

8. Connected Exchange and Counterparty Risk

8.1. Exchange Risk. Your assets are held by, and your trades are executed on, third-party Connected Exchanges over which the Company has no control. A Connected Exchange may become illiquid or insolvent, suspend or restrict withdrawals or trading, be hacked, change or restrict its API, act erroneously, or otherwise fail. Any such risk relates to the Connected Exchange and not to the Company, which never holds your assets.

8.2. Third-Party Dependencies. The Service depends on third parties, including Connected Exchanges, market-data providers, cloud infrastructure, and payment processors. Disruption, error, or failure of any such third party may impair, delay, or suspend the Service, and the Company is not responsible for the acts or omissions of such third parties.

9. Simulated Trading Results

Paper Trading uses simulated funds and does not execute real orders or involve real assets. Simulated results are hypothetical, do not represent real trading, and are not indicative of future results. Simulated performance does not account for real-world conditions such as liquidity, slippage, execution latency, fees, and the emotional and financial pressures of live trading, and may therefore differ materially from actual results.

10. No Guaranteed Results

The Company does not represent, warrant, or guarantee that use of the Service will be profitable, will avoid or limit losses, or will achieve any particular trading or investment outcome. Past performance is not indicative of future results. Any examples, projections, or illustrations are for information only and are not a promise of future performance.

11. Regulatory and Legal Risk

11.1. Evolving Regulation. The legal and regulatory treatment of crypto-assets and of tools such as the NeuroTrader AI is uncertain and evolving, and varies by jurisdiction. Changes in law, regulation, enforcement, or the policies of Connected Exchanges may adversely affect the Service, your access to it, your ability to trade, or the value or transferability of your crypto-assets, potentially at short notice or without notice.

11.2. Your Compliance. You are solely responsible for ensuring that your use of the Service and your trading activity comply with all laws applicable to you, including any licensing, registration, reporting, and consumer-protection requirements in your jurisdiction. If any feature of the Service would be unlawful in your jurisdiction, or would require you or the Company to hold a license or registration, you must not use that feature.

12. Tax Risk

12.1. Tax Responsibility. Trading crypto-assets may have tax consequences that depend on your circumstances and jurisdiction. The Company does not provide tax advice. You are solely responsible for determining, reporting, and paying any taxes arising from your use of the Service and your trading activity, and you should consult a qualified tax adviser.

13. Information and Data Risk

The Service relies on market and other data supplied by third parties. Such data may be inaccurate, incomplete, delayed, or unavailable, and the Company does not guarantee its accuracy, timeliness, or fitness for any purpose. Any decision made in reliance on such data is made at your own risk.

14. Assumption of Risk and Responsibility

14.1. Your Responsibility. You are solely responsible for your own trading decisions, for configuring your rules and risk limits, for monitoring your account and positions, for the security of your credentials and API keys, and for compliance with the terms and rules of your Connected Exchange and with all laws applicable to you.

14.2. Assumption of Risk. By using the NeuroTrader AI, you knowingly and voluntarily assume all risks described in this Disclosure and in the Terms, and, to the maximum extent permitted by applicable law, you agree that the Company shall not be liable for any loss arising from those risks. Nothing in this Disclosure excludes or limits any liability that cannot be excluded or limited under applicable law, or any non-waivable right you may have as a consumer under the mandatory law of your jurisdiction of residence.
